ttb announces its fifth share repurchase program of approximately THB 14 billion via General Offer from 16-27 November 2026, reinforcing its commitment to achieving the total share buyback of THB 35 billion.
Bangkok, 22 October 2026 – TMBThanachart Bank Public Company Limited or ttb informed the Stock Exchange of Thailand of the resolution of its Board of Directors' meeting at which the non-interested directors reviewed and approved the Bank's fifth share repurchase program. The program has a total budget of approximately THB 14 billion and will be executed through a General Offer method. The share repurchase period is scheduled from 16 to 27 November 2026, covering 10 business days.
Mr. Piti Tantakasem, CEOof ttb, said, “Under the Bank’s 4-year share repurchase project (2025-2028) with a total budget of THB 35 billion, ttb remains committed to executing the program efficiently to maximize value for shareholders. Since the launch of the share repurchase project in 2025, ttb has been able to implement the share repurchase programs ahead of schedule, enabling shareholders to realize the benefits sooner than originally planned.”
To date, ttb has completed 4 share repurchase programs, resulting in a cumulative buyback value of approximately THB 21 billion or the repurchase of 10,038 million shares, representing 10.29% of the Bank’s total issued and paid-up shares. This milestone was achieved one year ahead of the original plan. As treasury shares are not entitled to dividend payments, the repurchase programs help enhance shareholder returns through a more efficient allocation of earnings and dividends.
The benefits of the share repurchase were evident in the Bank’s latest dividend payment. From its 1H26 performance, ttb announced an interim dividend of THB 0.081 per share, up 23% from 1H25 interim dividend. The increase was supported by both the higher dividend payout ratio, which was raised to 65% from 60%, and the decrease in eligible share count following the Bank’s 4 completed share repurchase programs.
Mr. Piti Tantakasem added, “Given the current market conditions and environment, the Bank sees an opportunity to proceed with the fifth share repurchase program, utilizing the remaining budget of approximately THB 14 billion. This reflects our commitment to achieving the cumulative share buyback target of THB 35 billion. The execution of this program will enable shareholders to benefit from the Bank’s capital management initiatives sooner than the initial timeline that extends through 2028.”
The program has already been approved by the Bank’s non-interested directors. The final repurchase price will be announced on 26 October 2026. The preliminary repurchase price range has been set at THB 2.49-2.63 per share, a level that the Bank believes is appropriate and beneficial to shareholders over the long term. In addition, conducting the repurchase through a General Offer helps reduce uncertainties arising from market volatility and minimizes disruption to normal trading activities of existing shareholders and investors in the secondary market. The approach also enhances execution efficiency, as the offer period spans only 10 business days, compared with 6 months under the Automatic Order Matching method.”
Following the completion of the share repurchase program, the Bank is expected to maintain a strong liquidity position and capital base, providing sufficient capacity to support future business growth while prudently managing potential risks. The Bank estimates that its Capital Adequacy Ratio (CAR) will remain above 19.0% after the share repurchase, a level broadly comparable to those of large domestic systemically important banks (D-SIBs) and significantly above the Bank of Thailand’s minimum regulatory requirement of 12.0%.
The program reflects ttb’s efficient capital management approach, as well as its commitment to enhancing shareholder returns through multiple mechanism. At the same time, the Bank remains focused on preserving financial strength and resilience to support sustainable growth and long-term value creation for shareholders.
